ANNEXURE I

OFFER TERMS AND CONDITIONS

This marketing program (“Offer”) is from HDFC Bank Limited (“Bank”) under an arrangement with Xiaomi Technology India Private Limited (“Xiaomi”), and is open to all persons competent to contract in India, holding a valid and current HDFC Bank credit card or debit card (“Cardholder”) and who meet the eligibility criteria set out in these Offer terms and conditions (“Customers”).

1. OFFER

1. Discount as per ANNEXURE II to a Customer on purchase of each Eligible Product (as defined below) made through the Online Channels (as defined below) using an HDFC Bank credit card or under an HDFC Bank debit/credit card Easy Monthly Instalment (EMI) scheme (“Discount”).

2. Cashback as per ANNEXUREII to a Customer on purchase of each Eligible Product (as defined below) made through the Offline Channels (as defined below) using an HDFC Bank credit card or under an HDFC Bank debit/credit card Easy Monthly Instalment (EMI) scheme (“Cashback”).

2, ELIGIBLE PRODUCTS

1. All variants of the products set out under ANNEXURE II and purchased from the Authorised Channels during the Offer Period are referred to collectively as the “Eligible Products” and individually as an “EligibleProduct”.

3. MINIMUM TRANSACTION AMOUNT:

1. To avail the Discount/Cashback on an Eligible Product, a Cardholder must carry out a transaction of a minimum amount as set out in ANNEXURE II with his/her HDFC Bank credit card or under an HDFC Bank debit / credit card EMI scheme.

4. AUTHORISED CHANNEL:

1. Online Channels:

1. www.amazon.in, the related mobile website and mobile application (“Amazon Authorized Channel”)

2. www.mi.com, the related mobile website and mobile application (“Mi Authorized Channel”)
3. www.flipkart.com, the related mobile website and mobile application (“Flipkart Authorised Channel”)

2. Offline Channels: Brick and mortar retail outlets branded as ‘Mi Homes’ owned and operated by Xiaomi, or any third party under authorization from Xiaomi, and other brick and mortar storefronts established, maintained and operated by authorized third parties including Mi Preferred Partner, Mi Store, Mi Studio and other retail outlets.

5. OFFER PERIOD:  01 April 2021 00:00 hours to 30 June 2021 23:59:59 hours (“Offer Period”)

6. Offer is not applicable on cash on delivery transactions.

7. Offer not applicable on net banking and mobile banking transactions.

8. For HDFC Bank debit cardholders, the Offer is only valid on HDFC Bank debit card EMI schemes and not on any other debit card transactions.

Other Terms and Conditions

1. The above Offer is by way of a special offer for Cardholders only.
2. The Offer can be availed only once per HDFC Bank card during the Offer Period.
3. Any person participating in the Offer:
   
   1. must be an Indian citizen and resident;
   2. must be able to enter into legally binding contracts under Indian Contract Act, 1872;
   3. must hold a valid and unexpired credit card or debit card issued by HDFC Bank;
   4. must purchase an Eligible Product;
   5. must possess proof of age, identity and place of residence.
4. Cardholders can participate only once in this Offer during the Offer Period, irrespective of the number of products purchased.
5. The Offer cannot be combined with any other offer.
6. Any person availing this Offer shall be deemed to have accepted these terms and conditions.
7. Delinquent and over-limit Cardholders will not qualify for this promotion.
8. This Offer is non-encashable, non-extendable and non-negotiable.
9. This Offer is not applicable on cash on delivery transactions.
10. This Offer is not applicable on net banking transactions.
11. If a Cardholder has more than 1 (one) HDFC Bank card, spends on the cards cannot be clubbed by the card member in order to qualify for the said Offer.
12. Any query regarding the Offer will be entertained only till 15 July 2021 (23:59:59 hours). Any issue with the Offer will only be entertained only till 30 September 2021 (23:59:59 hours). Post such dates, the Bank and Xiaomi will not entertain any correspondence or communication regarding this Offer from any persons.
13. Pictures of products shown in the communication sent to the customers either through mailers or advertised on the website, are representative only and may not bear a resemblance to the actual products. Neither of the Parties shall, under any circumstances, be responsible towards the same.
14. Returned transactions, disputed or unauthorized/fraudulent transactions will not be considered for the Offer.
15. All government levies and taxes shall be payable by the Customers as applicable at the time the Offer is availed.
16. Cardholders are not bound in any way to participate in the Offer. Any such participation is voluntary.
17. This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority.
18. Bank and Xiaomi reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these terms and conditions or to replace, wholly or in part, this offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether.
19. Any disputes arising out of the Offer shall be subject to the exclusive jurisdiction of the courts at Bangalore.
